1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you and Unicaller (“Company,” “we,” “us,” or “our”), concerning your access to and use of the Unicaller mobile application (the “Application”).

You agree that by accessing the Application, you have read, understood, and agree to be bound by all of these Terms of Service.

We reserve the right, in our sole discretion, to make changes or modifications to these Terms of Service at any time and for any reason. Persons under the age of 18 are not permitted to use or register for the Application.

2. Intellectual Property Rights

Unless otherwise indicated, the Application is our proprietary property and all source code, databases, functionality, software, designs, audio, video, text, photographs, and graphics on the Application are owned or controlled by us and are protected by copyright and trademark laws.

You are granted a limited license to access and use the Application solely for your personal, non-commercial use. We reserve all rights not expressly granted to you.

3. User Representations

By using the Application, you represent and warrant that:

• All registration information you submit will be true, accurate, current, and complete
• You have the legal capacity and agree to comply with these Terms of Service
• You are not a minor in the jurisdiction in which you reside
• You will not access the Application through automated or non-human means
• You will not use the Application for any illegal or unauthorized purpose
• Your use of the Application will not violate any applicable law or regulation

4. User Registration

You may be required to register with the Application. You agree to keep your password confidential and will be responsible for all use of your account and password.

4.1 Phone Number Verification

You must provide a valid mobile phone number to use our Services. You agree to:

• Provide accurate phone number information
• Complete the SMS verification process
• Maintain control of the verified phone number
• Notify us immediately if your phone number changes

4.2 Single Device Policy

Unicaller employs a single active session policy for security and fraud prevention. Only one device may be actively logged into your account at any time. If you log in on a new device, all previous sessions will be automatically terminated.

4.3 Zero-Knowledge Contacts

To protect your privacy, Unicaller employs a “Zero-Knowledge” architecture for your address book. We do not upload, store, or transmit your device's contact list to our servers. All contact matching happens locally on your device.

5. Prohibited Activities

As a user of the Application, you agree not to:

• Systematically retrieve data or other content from the Application
• Trick, defraud, or mislead us and other users
• Circumvent, disable, or interfere with security-related features
• Use any information obtained from the Application to harass, abuse, or harm another person
• Upload or transmit viruses, Trojan horses, or other malicious material
• Attempt to impersonate another user or person
• Sell or otherwise transfer your profile

6. Services and Products

6.1 Service Description

Unicaller provides Voice over Internet Protocol (VOIP) calling services that enable users to make international telephone calls using an internet connection. Our Services include international calling to landline and mobile numbers worldwide, contact management, call history, wallet and credit management, and bundle purchasing.

6.2 Caller ID Presentation

Unicaller allows you to choose how your identity is presented to recipients. When using a verified number, the recipient will see your personal verified phone number. When using Anonymous / Pool Mode, the recipient will see an unknown or system-assigned number. We do not guarantee how the recipient's carrier will display this number.

6.3 Emergency Services

Unicaller Services DO NOT support emergency calling to numbers such as 911, 999, 112, or any other emergency services numbers. YOU MUST USE A TRADITIONAL TELEPHONE SERVICE OR MOBILE PHONE TO CONTACT EMERGENCY SERVICES.

7. Payment Terms and Policies

7.1 Payment Methods

We accept credit cards (Visa, MasterCard, American Express, Discover), debit cards, Apple Pay, and Google Pay. Payments are processed through Stripe, Inc., or through the native payment systems of the Apple App Store or Google Play Store.

7.2 Currency

All base pricing is in USD. The app displays local currency conversions on the payment screen. Final charges are determined by Apple, Google, or your financial institution using their respective real-time exchange rates. We are not responsible for any foreign transaction fees imposed by your bank.

7.3 Minimum Purchase

The minimum purchase amount for adding credits to your account is $4.99 USD.

8. Credit and Bundle Management

8.1 Credit System

Unicaller operates on a credit-based system where credits are purchased in USD amounts and deducted per minute based on destination rates. Unused credits expire after twelve (12) months of account inactivity.

8.2 Bundle System

ALL BUNDLES EXPIRE THIRTY (30) DAYS FROM THE DATE OF PURCHASE. Any unused minutes in a bundle are forfeited upon expiration and cannot be refunded, transferred, or extended.

8.3 No Refunds Policy

ALL SALES ARE FINAL. We do not provide refunds for any purchases, including unused credits, unused bundle minutes, expired credits or bundles, service quality issues, or user errors in dialing.

9. Service Availability

We strive to maintain 24/7 service availability but do not guarantee uninterrupted service. The Services may be unavailable due to scheduled maintenance, technical failures, force majeure events, or actions by third-party service providers.

10. Privacy Policy & Security

We care about data privacy and security. Please review our Privacy Policy, which is incorporated into these Terms of Service.

• Encryption at Rest: Every phone number associated with your account is encrypted before it is stored on our servers.
• Blind Indexing: We use blind indexing technology to process records without storing plaintext numbers in searchable formats.
• Data Hosting: The Application is hosted in the United States.

11. Term and Termination

These Terms of Service shall remain in full force and effect while you use the Application. If you choose to delete your account, all unused credits and active bundles are immediately forfeited and non-refundable.

WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS OF SERVICE, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE APPLICATION TO ANY PERSON FOR ANY REASON OR FOR NO REASON.

12. Governing Law

These Terms of Service and your use of the Application are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

13. Dispute Resolution

13.1 Informal Negotiations

The Parties agree to first attempt to negotiate any dispute informally for at least thirty (30) days before initiating arbitration.

13.2 Binding Arbitration

If the Parties are unable to resolve a dispute through informal negotiations, the dispute will be finally and exclusively resolved by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association.

YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL.

14. Disclaimer

THE APPLICATION IS PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE APPLICATION AND YOUR USE THEREOF.
